Terms of Service

By accessing or using the SongRadar website, application, services, or related features, you agree to these Terms of Service and any policies incorporated into them by reference, including the SongRadar Privacy Policy and the SongRadar Refund / Payment / Dispute Policy, each of which applies where relevant. If you do not agree to these Terms, do not use SongRadar.

These Terms apply to visitors, account holders, artists, authorized representatives, Radar Partners, and other users of SongRadar.

SongRadar may also present additional terms or rules for particular features or services. When those additional terms apply, they become part of your agreement with SongRadar for use of that feature or service.

You must be at least 18 years old to create or maintain a SongRadar account. By creating an account, you represent that:

• you are at least 18 years old;
• you have the legal capacity to enter into these Terms;
• the information you provide is accurate and current; and
• if you are acting on behalf of an artist, band, company, outlet, organization, or other entity, you have authority to act on its behalf.

SongRadar may refuse, restrict, suspend, or terminate access where eligibility or authority cannot reasonably be established.

SongRadar is an online music-industry platform designed to help artists discover opportunities, submit music, organize activity, track submissions and responses, and connect with participating music-industry professionals and opportunity providers. SongRadar may include features for:

• artist profiles and music information;
• opportunity discovery;
• music submissions;
• Radar Partner participation;
• submission tracking;
• communications;
• Song QC;
• Pings and Ping Packs;
• account and subscription management; and
• related tools and services.

SongRadar may add, modify, remove, or improve features over time.

You are responsible for maintaining accurate account information and protecting your account credentials. You are responsible for activity occurring through your account unless prohibited by applicable law. You must promptly notify SongRadar if you reasonably believe your account has been accessed without authorization.

You may not:

• impersonate another person or organization;
• create accounts using materially false information;
• share access in a way that defeats account or plan restrictions;
• sell or transfer an account without SongRadar’s written permission; or
• use another person’s account without authorization.

SongRadar may require additional verification when reasonably necessary for account security, platform integrity, or participation in particular features.

SongRadar currently offers Free, Artist, Advanced, and Pro plans. Current subscription pricing, features, included Pings, Song QC benefits, Radar access, and other plan details are displayed on SongRadar's Pricing page and become part of the applicable purchase when you subscribe.

Paid subscriptions automatically renew for the same billing interval unless canceled before renewal. You may cancel by contacting SongRadar through the Contact / Support page or by emailing support@songradar.com. If self-service cancellation is available in your account, you may also cancel there.

Unless otherwise required by applicable law, cancellation stops future renewals and takes effect at the end of the current paid subscription term. Access to paid-plan benefits generally continues through the end of the already-paid term unless the account is suspended or terminated for another reason.

Annual subscription benefits, including included monthly Pings where applicable, are issued according to the monthly benefit schedule rather than as a full year of benefits upfront.

SongRadar may change subscription pricing or plan features prospectively. Any material change affecting an existing paid subscription will be handled in accordance with applicable law and the information presented to the subscriber at the time of renewal or change.

Pings are SongRadar platform credits used for eligible music submissions and other SongRadar activities where Pings are expressly required. Some subscription plans include a limited number of Pings each month, and you may also purchase Ping Packs separately.

Purchased Pings are one-time platform-credit purchases and do not expire under SongRadar's current Ping policy. Subscription Pings are issued according to the benefits of the applicable subscription plan. Annual subscribers receive their included Pings monthly.

Pings:

• are used only within SongRadar;
• do not represent cash, currency, a bank balance, or stored monetary value; and
• cannot be redeemed from SongRadar for cash.

Current Ping quantities, Ping Pack prices, and subscriber discounts are listed on the SongRadar Pricing page.

Song QC is an optional SongRadar quality-review service. Current Song QC pricing (per review) and plan benefits are displayed on the Pricing page.

Passing Song QC may make eligible music available for qualifying opportunities, subject to the requirements of the applicable opportunity and your subscription access. Passing Song QC does not automatically unlock subscription-gated Radar access.

SongRadar does not guarantee that passing Song QC will result in acceptance, placement, response, or any commercial outcome.

You are responsible for deciding which opportunities are appropriate for your music. A submission may require Pings or other eligibility requirements shown before submission. SongRadar may record submission activity, status information, responses, and results to support platform functionality.

Before a submission or service has been executed or delivered, SongRadar may permit withdrawal and release or return applicable unspent or reserved Pings. After a submission or service has been successfully executed or delivered, Pings used for that activity are generally not refunded merely because the artist later withdraws, changes their mind, receives no response, or does not receive the desired result.

Opportunity descriptions, requirements, deadlines, and eligibility may be established by SongRadar, the applicable Radar Partner, or both. SongRadar does not guarantee the continued availability of any opportunity.

Radar Partners may include legitimate music-industry professionals, outlets, curators, media, opportunity providers, and other approved participants. Radar Partners may be permitted to:

• maintain professional profiles;
• publish or participate in opportunities;
• receive or review submissions;
• respond to artists; and
• communicate through available SongRadar tools.

Radar Partner status does not mean that every action, opinion, response, or business decision of a Radar Partner is endorsed by SongRadar. Where SongRadar uses a verification or approval designation, that designation reflects SongRadar's applicable review process at the time and is not a guarantee of future conduct, business performance, or results. Verified Radar Partner status cannot be purchased.

You retain ownership of music, recordings, artwork, photographs, biographies, text, trademarks, and other content you own and submit to SongRadar. By uploading or submitting content to SongRadar, you grant SongRadar a non-exclusive license to host, store, process, reproduce, display, transmit, and otherwise use that content as reasonably necessary to:

• operate SongRadar;
• display your profile or submission;
• deliver submissions;
• provide requested services;
• promote or demonstrate your SongRadar presence where authorized by the platform features; and
• maintain platform security and records.

This license does not transfer ownership of your underlying content to SongRadar. You represent that you have the rights and permissions necessary to upload and submit the content you provide. You may not upload material that infringes another person's copyright, trademark, privacy, publicity, contractual, or other rights.

SongRadar and its licensors retain ownership of the SongRadar platform, software, site design, interface, graphics, trademarks, service marks, branding, documentation, original platform content, and related intellectual property. Except as expressly permitted through SongRadar, you may not copy, reproduce, sell, sublicense, scrape, reverse engineer, modify, distribute, or commercially exploit SongRadar's proprietary platform or content.

You may not use SongRadar to:

• violate applicable law;
• commit fraud or deception;
• impersonate another person or organization;
• infringe intellectual-property rights;
• distribute malware or malicious code;
• interfere with SongRadar’s systems or security;
• attempt unauthorized access;
• scrape or harvest data at scale without authorization;
• manipulate submissions, responses, rankings, metrics, or platform activity;
• harass, threaten, abuse, or exploit other users;
• send spam or unauthorized commercial messages;
• submit content you do not have authority to submit;
• use SongRadar for unlawful or deceptive pay-for-placement schemes; or
• bypass subscription, access, or payment restrictions.

SongRadar may investigate suspected violations and take reasonable action to protect users, partners, and the platform.

SongRadar may link to or integrate with third-party websites, platforms, payment processors, media services, social networks, streaming services, or other external services. Third-party services are governed by their own terms and privacy practices. SongRadar is not responsible for the availability, security, accuracy, content, policies, or conduct of independent third-party services except to the extent required by applicable law.

Paid purchases may include subscriptions, Ping Packs, Song QC reviews, or other SongRadar services. Prices and applicable charges are shown before purchase. By completing a purchase, you authorize the applicable charge using the selected payment method.

SongRadar's Refund / Payment / Dispute Policy is incorporated into these Terms by reference. Where that policy provides more specific rules concerning the following matters, the specific policy controls for those matters:

• refunds;
• failed payments;
• reversed payments;
• chargebacks;
• disputes;
• Ping adjustments; or
• payment-related account actions.

Nothing in these Terms limits consumer rights that cannot legally be waived.

SongRadar may restrict, suspend, or terminate an account or access to particular services when reasonably necessary because of:

• violation of these Terms;
• fraud or suspected fraud;
• unauthorized access;
• payment disputes or reversed payments;
• misuse of SongRadar;
• unlawful activity;
• security risk;
• abuse of other users or Radar Partners;
• infringement of third-party rights; or
• conduct that materially threatens SongRadar, its users, or its services.

Where reasonably appropriate, SongRadar may provide notice or an opportunity to correct an issue. SongRadar may take immediate action where necessary to protect users, prevent fraud, address security risks, comply with law, or prevent material harm.

To the fullest extent permitted by applicable law, SongRadar is provided on an “as available” and “as is” basis. SongRadar does not warrant that:

• every opportunity will remain available;
• every Radar Partner will respond;
• every submission will be reviewed;
• the platform will be uninterrupted or error-free; or
• any particular opportunity will produce a commercial or career result.

Music-industry decisions are made by independent artists, Radar Partners, outlets, professionals, companies, and other participants. SongRadar does not control those independent decisions. Nothing in this section excludes warranties or rights that cannot legally be excluded.

To the fullest extent permitted by applicable law, SongRadar and its affiliates, officers, employees, contractors, and agents will not be liable for indirect, incidental, special, consequential, exemplary, or punitive damages arising out of or relating to use of SongRadar, including loss of profits, opportunities, business, reputation, data, or anticipated benefits.

SongRadar is not responsible for independent decisions made by artists, Radar Partners, opportunity providers, media outlets, curators, platforms, or other third parties.

Where applicable law does not permit a particular limitation or exclusion, that limitation applies only to the maximum extent permitted by law. Nothing in these Terms limits liability that cannot lawfully be limited or excluded.

To the extent permitted by law, you agree to defend, indemnify, and hold harmless SongRadar and its affiliates, officers, employees, contractors, and agents from third-party claims, liabilities, damages, losses, and reasonable expenses arising from:

• content you upload or submit;
• your violation of these Terms;
• your violation of applicable law;
• your infringement of another person’s rights; or
• your misuse of SongRadar.

This obligation does not apply to the extent a claim results from SongRadar's own unlawful conduct.

SongRadar may develop, modify, improve, replace, suspend, or discontinue features or services. SongRadar may also modify:

• subscription offerings;
• plan benefits;
• Ping requirements;
• opportunity structures;
• Song QC features; and
• platform functionality.

SongRadar will handle material changes to paid services in accordance with applicable law and any commitments presented to affected users.

SongRadar may update these Terms from time to time. Each published version displays its version number, effective date, and last-updated date. Material changes may be communicated through:

• the SongRadar website;
• the SongRadar application;
• account notifications; or
• email where appropriate.

Continued use after revised Terms become effective constitutes acceptance where permitted by law. If applicable law requires additional consent, SongRadar will obtain that consent.

These Terms and disputes arising out of or relating to them are governed by the laws of the State of Tennessee, without regard to conflict-of-law principles, except where applicable law requires otherwise.

Any legal action that is not subject to a legally required alternative forum shall be brought in a court of competent jurisdiction located in Tennessee. The parties consent to the jurisdiction of those courts, subject to any non-waivable rights provided by applicable law.
